Dan Porter, the former CEO of New York-based gaming company OMGPOP which was purchased by Zynga in March of last year, has left the company, according to a release obtained by Betabeat.

Zynga confirmed to Betabeat that the decision was mutual and unrelated to the expiration of any “golden handcuff” clause in his contract keeping him at the company after the acquisition. Mr. Porter had been working on developing the sequel to Draw Something for the past year and felt it was in good enough shape to make the transition. Zynga launched Draw Something 2 in Sweden last week. The company picked Sweden to release the sequel--a celebrity-focused social network of sorts that emphasizes showcasing drawings over gaming--because Sweden was the first country where the first version hit no. 1 in the App Store.

"Developing and launching games is a team effort, and we’re proud of the great work the Zynga New York team has done with Draw Something 2," Zynga COO David Ko said. "We thank Dan Porter for his efforts in making the Draw Something franchise a success and wish him well in his future endeavors."

Until today, Mr. Porter served as the VP of general management at Zynga's New York office. He'll be replaced by VP of Mobile Sean Uberoi Kelly. This past December, CEO Mark Pincus was named the fourth worst CEO in part because of "a big exodus of top executive talent," as well as the $95.5 million write-down on its acquisition of OMGPOP.

Mr. Porter’s independent streak has bristled against Zynga’s corporate policies in the past. His public criticisms, such as calling Zynga out for copying competitors, have on occasion warranted a retraction. Zynga HQ’s willingness to blame poor performances on the OMGPOP write-down and dwindling engagement with the game likely didn’t help.

But Zynga New York has been on a hot streak of late, as we reported last week. What’s the Phrase--a new game from the New York office that borrows from “Wheel of Fortune” the same way Words with Friends borrows from Scrabble--hit no. 1 in Apple’s App Store without much promotion. It's currently no. 6 in top free apps overall and no. 4 in top free games.

On March 21st, Mr. Porter tweeted “One year,” indicating the one-year anniversary of his time at Zynga.

"Any horse that has the name 'Awesome' in it? I bet on it!" Walter Hessert told us earlier this week from inside one of those noise cancel-ish sofa pods in the south wing of General Assembly. Also present in said pod: his brother Thomas Hessert. Along with a third brother (Bill) and their CTO Eric Gay (no relation), the Hesserts are the cofounders behind Derby Jackpot, an addictive online game that almost made Betabeat late for our meeting.

Showing up for an appointment seemed more professional than waiting to see if we'd parlayed the $2 offered to beta users into something more, so we sucked it up and hopped on the N. But it was a heady example of why companies like Zynga are counting on real money gaming to offer real revenue in the otherwise hits-dependent social gaming industry that relies on ad revenue or virtual sheep.

Tom Hessert, left, and Walter Hessert

Users who visit Derby Jackpot's HTML 5 site--the company is opting for the mobile web over an app--are greeted with a big countdown clock at the top of the page that tells you when the horse race is happening. Horses are displayed according to their actual names and the odds of winning (at the time.) You can place different kinds of bets--"monkey bets" offer higher payoffs than "grandma bets"--and chat with other players. Once the race starts in real-time, you can see feed from the track. The suggested betting amounts are small, and it's easy to keep an eye on the race while toggling between tabs.

Unlike other horse betting sites, Derby Jackpot's overall effect has the come hither look of a slot machine with the friendly, simplified interface of your average social game.

"It’s built for social gamers and casual players," said Tom. "We didn’t want it to look hardcore at all. Or too intense. Or huge numbers. Just for players who want to come and test their luck and have fun."

Derby Jackpot expects to come out of private beta early next year. And thanks to a new partnership with the payments company Dwolla--hyped during a recent gambling party with Derby Jackpot winnings flashing on high-defs TV screens--users can take out their earnings immediately rather than wait for a check in the mail.

The idea came to the Hesserts during a trip to the Preakness, said Tom. The machines were complicated and the racing lingo intimidating, but it had all the components of the core gaming experience. Especially after he won $25 on 5:1 odds. "So we looked at it like why haven't we done this before and why isn't it easy to do online? Why do you only hear about this maybe once a year during the Derby or the Preakness?"

Bill Hessert, a data scientist, had been studying horse racing while getting a masters degree in quantitative finance in Princeton and knew that the 50,000 live races that happen 364 days a year (ponies get the day off on Christmas) offered ample opportunities. As a research project, he had been working with the Jockey Club to study data like efficiencies and handicapping. In fact, as Betabeat mentioned back in April, Freakonomics author and economist Steven Levitt, one of Bill's former professors, is an advisor to the startup, which also boasts an advisor from Zynga.

The brothers are still tight-lipped about the "billionaire" investor, who helped contribute to the $1 million they raised in seed funding. However, they did say Derby Jackpot's team of seven is well capitalized and not looking to raise.

They also maintain that they're not looking to get acquired, should Mark Pincus come sniffing around, which seems inevitable. Almost every question during Zynga's last earnings call was about their partnership to offer real money poker games in the U.K. Derby Jackpot, on the other hand, is able to get into the U.S. market because unlike the crackdown on online poker, online horse racing is legal in 29 states.

In order to let off-track-betting (OTB) locations call in their bets to tracks, said Walter, the Wire Act, which prohibits placing wagers across state lines, made an exemption for pair-mutuel horse wagering. "Gradually that’s evolved into including Internet ADWs or advanced deposit wagers and that’s been updated in all the online gambling laws," added Tom. Derby Jackpot is required by law to ask for the last four digits of your social security number and address.

The company's relationship with regulators and individual track owners might be enough to keep competitors (ehem) from simply copying their concept. Track owners may not be a tech-savvy bunch, but they've had rudimentary APIs in place to serve OTBs and casino for decades. "If you're betting on horses that are running around a track in Philadelphia, your bets are going to that track and betting against all the other bets," Walter explained.

"They could just copy our interface," he admitted, but navigating the industry is tough. Derby Jackpot has contracts with 100 tracks in the U.S., although not exclusive ones. It has deals with video providers and went through the year-long regulatory process. The company has rev share deals with the track owners as well. "It’s like a gas station," said Walter. "A gas station sells lottery tickets, you get a small percentage of each dollar bet. We don’t take any of the players winnings," adding, "At the end of the day, you have to get permission from the tracks to put your users’ wagers in their pools."

Among beta users, the average player typically deposits $25, and usually plays for two hours or so. "Some people like to go bigger, some people like to play the Granny bet all day long. Literally you can play that all day long. If you pick the favorite in the Granny bet, chances are you’re going to win," said Tom.

During a chat session with Derby Jackpot's fellow friendly beta users, we were buoyed by one user fondly remembering the day Walter "hit $947.00." Sadly, despite an influx of $10 offered to party-goers and a one-time high of $18.40, our account is now at 40 cents. Betabeat came close to Dwolla-ing $25, and the cha-king sound to let us know the first race just started makes us want to pull the trigger. The surprisingly fun social features also help suck you in. As do the the stream of tweets announcing tips and winnings, although our Twitter feed might be biased.

@andrewjbryk also don't bet until under 2 minutes before. odds are not locked in and change rapidly at end.

— Alexander Taub (@ajt) November 29, 2012

The public version will enable even more interaction with players. "There’s a lot of very complex things that happen in horse racing that take some creativity to turn them into a super product," Walter said. "So we’ve really worked out a lot of that. Now we’re just making it more robust in a social sense."

According to the countdown clock luring us in, Betabeat has 53 minutes and 49 seconds to decide if we're gonna pony up for the next race.

Both Facebook and Zynga filed documents with the SEC today detailing the terms of a new, more lax partnership. The two-year-old contract between the once interdependent companies--just check out their IPO filings--was slated to expire.

Under the loosened agreement, Zynga is free of a number of obligations, including implementing Facebook credits on Zynga game pages and using Facebook as its exclusive social platform. Naturally Zynga is interested in establishing its own network, with the ability to own its own players and establish its own ad relationships. Zynga also no longer has to display Facebook ad units, for example.

But Facebook also got one (big!) thing: the ability to develop its own games. That might explain why Zynga stock is trading almost 13 percent down after hours.

The one area where Facebook wasn't willing to let Zynga go? All together now: Real. Money. Gaming.

If you'll recall, during its recent third quarter earnings call, Zynga announced a partnership with bwin.party that will allow Zynga to offer “real money games” in the U.K., where gambling laws are more permissive. And according to today's Zynga filing:

"If Facebook allows real money gambling games on the Facebook web site in countries where Zynga has real money gambling games, Zynga will subsequently launch such games on the Facebook web site, if certain conditions are met by Facebook."

Sounds like Zuck didn't want to miss out in case Zynga's real-money poker and casino games are everything Mark Pincus so desperately hopes it will be.

What's it take to make a billionaire entrepreneur cry?
Per The Journal, Mr. Pincus was encouraged to meet with Bill Campbell, a board director at Apple and a sort of Silicon Valley CEO, to help the gaming CEO halt Zynga's post-IPO stock plunge:

Mr. Campbell, a technology veteran who has coached Silicon Valley CEOs such as Steve Jobs and Eric Schmidt, had been called in by Zynga investor and venture-capital firm Kleiner Perkins Caufield & Byers to advise Mr. Pincus as the social games company's stock plunged and some of its online games lost traction. Some Kleiner Perkins partners warned Mr. Campbell that he might not make much progress.

But at the meeting, where the two men discussed Zynga's management challenges, Mr. Pincus was open to advice. Mr. Pincus "was discouraged," said Mr. Campbell, adding that the CEO was near tears. He "felt terrible about what was happening; he felt the turmoil."

After meeting with Mr. Campbell, Mr. Pincus made changes big and small: He axed his chief operating officer, John Schappert, and integrated Zynga's mobile unit into the gaming studios, replaced his BlackBerry with an iPhone and created the first company-wide stock options grant.

Not that it's been smooth sailing. Some Zynga employees deemed the options offered as piddling, and asked if they could refuse the grants in protest. The company lost chief marketing officer Jeff Karp in September, and in October, the company laid off 150 employees. The share price continued to slide.
Still, in the eyes of his new guru, at least, Mr. Pincus is making progress. A good thing, because if Zynga's woes continue, at least he'll have a shoulder to cry on.

David Wehner is out at Zynga and David Ko is up, as the social gaming company shook up its C-suite in an announcement after stock markets closed.

Mr. Wehner, who's served as the company's chief financial officer since coming over from investment bank Allen & Co. in 2010, may have lost Wall Street's confidence after Zynga's share price plummeted nearly 80 percent since the FarmVille maker's IPO at $10 last December.

While Mr. Wehner moves on to a senior finance job at Facebook, he'll be replaced by Mark Vranesh, who returns to the CFO role he filled from 2008 to 2010, following a two-year stint as Zynga's chief accounting officer.

Meanwhile, Zynga took the opportunity to reward Mr. Ko, regarded as a rising star within the company for his work heading its mobile efforts, promoting the former Yahoo employee to chief operating officer. In addition to Mr. Ko's work with mobile, he's been charged with supervising Zynga offerings such as With Friends, Casino and Draw Something.

"Dave remains a good friend to us all and we wish him success in his next role," Zynga founder and CEO Mark Pincus said in a release. "I'm confident we have the right team to deliver on our mission of connecting the world through games and position us for long-term growth."

After two big blows in succession--downgraded earnings forecasts, followed by 5 percent layoffs and the end of its studios in Boston, Japan, and the UK--Zynga's third quarter earnings report exceeded the Street's "rock bottom expectations." That might explain why after hours trading is currently up 13.6 percent.

Zynga had predicted a net loss of $90 to $105 million for the third quarter, but only reported a net loss of $52.7 million. The company attributed part of that loss on a $95.5 million impairment charge on its acquisition of OMGPOP, the New York City-based makers of Draw Something. Zynga also said that a 28 percent sequential decrease in monthly unique payers (MUPs) from the second quarter (4.1 million) to the third quarter (3 million) as "largely driven by Draw Something."

However, it's worth noting that AppData shows monthly active users (not payers) for Draw Something as 10.2 million. As Zynga's chief mobile officer David Ko noted this summer, sites like AppData only measure usage via Facebook integration, which he called, "[just] a portion of the actual number." And if anyone can figure out how to turn users into payers, it's American Idol's Ryan Seacrest, who just happens to be executive producing a TV pilot based on Draw Something. So stay tuned?

On an earnings call about this afternoon, CEO Mark Pincus began by saying, "The last several months have obviously been challenging for us," before going on to outline a plan to fix that. Besides yesterday's steep cutbacks and layoffs--the company is also sunsetting 13 games--Zynga plans to remain "well positioned to capitalize on social gaming," by refocusing on mobile. He attributed some of Zynga's setbacks on "faster than expected player adoption of mobile smartphone and tablets." A familiar refrain to anyone who heard Facebook's first earnings call too.

Zynga may have an easier time adjusting to mobile than Zuck, though. The company says it owns three of the top five most popular mobile games and that, "In the past year, we’ve generated a large audience and a business that represents 20 percent of our bookings." The company is also reorganizing its game teams to "unite" web and mobile development. Additionally, it will be work on developing more "high-engagement games," like Zynga Poker.

Speaking of just how engaging gambling can be, along with its earnings report, Zynga sent out a press release this afternoon announcing an exclusive partnership with the online gaming company bwin.party. "If you say it out loud, it sounds like 'boring party," observed Betabeat star intern Myles Tanzer. The deal, however, should prove anything but. Through the partnership, Zynga plans to offer so-called "real money games" in the UK, where gambling laws are less dire than the U.S.

Nearly every question during the earnings call attempted to get more details about the partnership out of Mr. Pincus and and CFO Dave Wehner, who declined again and again to offer specifics beyond the fact that it would "offer real money online Poker and Casino games in the UK market," in the first half of 2013.

A question from CITI regarding whether this was a merely a "brand licensing deal" or would actually involve more lucrative "game development and integration," was also left unanswered. However, Zynga did emphasize that this deal was specific to the UK. Considering that bwin.party, which is incorporated, licensed, and regulated in Gibraltar, but also has licenses in France, Italy, Spain and Denmark, that may mean Zynga is exploring other partnership options for real money gambling overseas. And bwin.party's loss might be Betable's gain!

Who needs casinos on Coney Island when you can fritter away your rent money right from your laptop?

(Photo: insideipo.com)

It appears that Zynga, the evil mastermind behind FarmVille and Mafia Wars, is not completely hell-bent on destroying the world. The online game producer turned super villain announced today that it would help design a Facebook game to fight the oppression of women around the world.

The game is based on the novel Half the Sky, which follows the lives of women who have been victimized through sexual violence and trafficking, insufficient educational and financial opportunities and poor healthcare. It is part of a larger multimedia effort based on the book’s themes that will include a PBS miniseries as well as mobile games in India and Africa.

The game’s users will be tasked with ensuring the safety and prosperity of women and girls in their virtual village, overcoming various challenges in an effort to allow their avatars to eventually achieve independence. Players’ actions in the game will also translate into real donations that will go towards financing schools, supporting farmers and contributing to micro-saving campaigns.

Zynga’s game engineers will help Half the Sky’s Facebook game developer, Frima Studio, and its executive producer, Games for Change, finish before the game's debut on November 13. Ken Weber, Zynga.org’s executive director, expressed his excitement over the collaboration in a Games for Change blog post.

The mission of Zynga.org is to help make the world a better place through games … Zynga’s employees are eager to leverage social games for good, and we are honored to be collaborating with Games for Change and Frima on this important initiative.

So is Zynga’s sudden prep-school charm to be trusted, or is it all a ruse, their true intentions only to be revealed in a dying tear collected by a bespectacled wizard (Snape-style!)? Former employers have previously alleged that Zynga’s CEO Mark Pincus encourages workers to steal ideas from other companies. These disgruntled workers even darkly joked that Zynga’s internal motto is “Do Evil.”

But apparently these Darth Vader tactics aren’t having their desired effect. Zynga’s stocks suffered this summer, sinking below $5 in June. Looks like it’s time for the classic reputation cleansing move, "invest in a philanthropic Facebook game."

However, the ambiguously intentioned Zynga seems to have won over the book’s authors, Nicholas Kristof and Sheryl WuDunn. (Just like Snape did with Dumbledore in Harry Potter. Gasp!)

“Zynga’s role in bringing this game to life is particularly special to us,” Mr. Kristof and Ms. WuDunn said in the blog post. “Using a game to potentially reach great numbers of people helps send a message not only that there are challenges women face around the world, but also that they bring great spirit and joy to their communities when they can live safe, normal lives.”

We should probably figure out who Voldemort is in this whole scenario--ASAP.

Airtime, the Sean & Shawn bred startup that launched earlier this week, has slowly grown on us. Our initial reaction was in line with the majority of the Internet's: "Okay, it's Chatroulette without penises." But the more we've used the service, the more its benefits for networking, flirting and stymying boredom have revealed themselves.

But the thing is, since the site hasn't really hit critical mass yet, you tend to run into the same types of people over and over again. They're almost always very nice, but in our experience, they also almost always fall into one of the below five categories.

1. Journalists

Okay, this reporter is part of the problem, but few seem to be as in love with Airtime as the navel-gazing, network-savvy media elite. While the new app has been extensively reported on, few of our Facebook friends who aren't explicitly involved in media or tech seem to have caught on to the trend. We tend to wait to grant an app "phenomenon" status until it has been adopted by our Kardashian-obsessed, text-messages-in-her-sleep 20-year-old sister.

2. Startup Evangelizers

No where has the "everybody's a CEO" meme been more obvious than within the hallowed video chat grounds of Airtime. The vast majority of folks we've bumped into on the service are founder or executive-level startup employees. And, inevitably, when they ask us what we do, we are subjected to an impromptu pitch session on why their company is the Next Big Thing.

3. People You are Purposefully Not Facebook Friends With

Remember that dude you had a short but torrid Thing with back in college, and now sometimes you see each other in line for coffee and you make that unspoken "I'll pretend not to see you if you pretend not to see me" pact? Yeah, you're not Facebook friends with him for a reason, and you sure as hell don't want to run into him on Airtime.

4. The Lost, Lonely Men of the Internet

If this Businessweek piece is to be believed, a whole lot of dudes are looking at Airtime like it's a video chat version of OkCupid. We definitely had the experience of running into some flirty young men--one, in fact, who could barely bridle his joy as he blurted out: "You're a girl!"

5. Famous business leaders/investors/B-list celebrities

We all know Zuck uses it. So do Jessica Alba and Justin Bieber's manager, Scooter Braun, as well as Foursquare CEO Dennis Crowley and Zynga cofounder Mark Pincus, who users apparently confuse for each other. Assumedly Olivia Munn, Jim Carrey, Martha Stewart, Snoop Dogg and Joel McHale use it too, since they were present for its launch. Personally, we're still waiting for Ryan Gosling to catch on.
